I. Nature of the Trading Center

1.1 AmberVouch provides copyright rights-confirmation assistance and transaction matchmaking services. The platform provides technical support such as information display and evidence verification for transactions, but is not the rights holder or guarantor of the transaction object, nor does it collect, pay, or custodian transaction funds. Transaction funds are settled directly between the transaction parties or their selected licensed payment institutions, and the platform does not guarantee transaction performance.

1.2 Some functions of the platform currently run in a demonstration environment; specifics are subject to the corresponding function page and the services you actually activate; before the official trading function goes live, the platform will notify you separately.

II. Rights-confirmation and Trade Flow

  1. Upload the work and perform de-duplication screening; the system provides a similarity reference (the screening result does not constitute a rights determination);
  2. Complete the rights statement and rights confirmation;
  3. Choose multi-algorithm anchoring (e.g., SM3, SHA-256, etc.) to generate evidence, and optionally connect to the judicial evidence consortium chain;
  4. After on-chaining, open trading and set the authorization method and price;
  5. After a transaction is concluded, the platform completes settlement and record retention in accordance with these rules.

III. Platform Service Fee Rates

3.1 The platform charges a technical service fee for transactions concluded through this platform. To genuinely reduce the burden on creators, the platform's fee rates are significantly below industry levels and are applied in tiers by authorization type (the fee rate excludes taxes payable by law; settlement is denominated in RMB):

Authorization typeCreator's netPlatform technical service fee
Non-exclusive (standard license)75%25%
Exclusive (platform-exclusive license)85%15%

3.2 The platform offers two authorization modes, non-exclusive and exclusive; the exclusive authorization (i.e., exclusive sale) enjoys a more favorable rate: the platform technical service fee drops from 25% to 15%, and the creator's net rises from 75% to 85%. The specific rate is subject to the listing page of the trading center; uniformly set by the platform, and cannot be adjusted by the creator.

3.3 The platform service fee is borne by the seller (rights holder); the receipt and settlement of transaction funds follow the "platform does not handle funds" model agreed in Article 1 of these rules, completed directly by the transaction parties or a licensed payment institution with corresponding qualifications, and the platform does not guarantee the performance of the transaction object.

3.4 The platform will publish in advance any adjustment to fee rates; transactions concluded or in progress before the rate adjustment are, in principle, executed at the original rate, unless otherwise agreed.

3.5 On-chain services may involve third-party consortium-chain fees, which are disclosed when you choose on-chaining.

IV. Rights-split Licensing

4.1 The rights holder may authorize different sub-rights of a work separately, including but not limited to: reprint rights, adaptation rights, filmization, audiobooks, translation, game adaptation, merchandise development, etc.

4.2 Each rights split must specify the authorization scope, territory, term, whether it is exclusive, and the corresponding consideration. The platform displays and matchmakes according to the conditions you set, and does not represent the platform's substantive guarantee of the authorization's validity.

V. Repost Monitoring

5.1 The platform provides infringement-repost monitoring and early-warning services to help rights holders discover suspected unauthorized dissemination and use.

5.2 Monitoring results are clues only; whether an infringement is constituted is determined and handled by the rights holder in accordance with the Anti-infringement Complaints Guide; the platform bears no liability for monitoring coverage or missed reports.

VI. Trade Dispute Handling

  1. The transaction parties should resolve disputes through friendly negotiation;
  2. If negotiation fails, they may apply for platform mediation, and the platform will make a mediation recommendation based on the materials submitted by both parties and platform records;
  3. Platform mediation does not replace judicial or arbitration procedures, and you still have the right to seek relief from a competent authority in accordance with the law.

VII. Prohibited Conduct

The transaction parties shall not engage in the following conduct:

  1. Upload false ownership materials or conduct false rights confirmation;
  2. Trade content that infringes the intellectual property rights or other legitimate rights and interests of others;
  3. Brush orders, self-buy and self-sell, price manipulation, and other conduct that disrupts the transaction order;
  4. Use the platform to engage in money laundering, fraud, or other illegal or criminal activities;
  5. Other conduct that violates laws and regulations or platform rules.
  6. All transaction parties must be entities with corresponding civil capacity; minors may not participate in platform transactions;

VIII. Taxes and Settlement

8.1 Taxes related to transactions are borne by the transaction parties in accordance with the law, except where the platform withholds and remits them as required by law (where applicable).

8.2 The settlement method, cycle, and arrival rules for funds are subject to the platform's settlement instructions and the agreement between you and the platform.

The platform explicitly declares: the on-chain service connects to a state-recognized judicial evidence consortium chain, used for tamper-resistant retention of electronic data; the platform does not issue or trade any virtual currency or tokens.
